Welcome to Kewarm Pty Ltd (“Kewarm,” “we,” “us,” or “our”). These Terms and Conditions of Trade govern your use of our website and the purchase of products from us. By accessing or using our website or purchasing products from us, you agree to be bound by these Terms and Conditions of Trade.
1. Ordering
All orders are subject to acceptance by Kewarm. Kewarm reserves the right to refuse any order for any reason.
Orders are considered accepted only when confirmed in writing by Kewarm.
All orders are subject to availability and acceptance by us. We reserve the right to refuse or cancel any order for any reason, including if the product is no longer available, breach of trading terms or if there are errors in the pricing or description of the product.
2. Pricing and Payment
Prices for Products are as stated on Kewarm’s website or as quoted to the Customer. All prices are in Australian Dollars (AUD) and exclude GST unless otherwise stated.
Payment for Products must be made in full at the time of placing the order, unless otherwise agreed upon by Kewarm. Payment terms must be strictly adhered to, Kewarm reserves the right to refuse orders or cancel a credit account if payment is not made within the agreed terms.
Kewarm reserves the right to change prices for Products at any time without prior notice. Such changes will not affect orders already confirmed by Kewarm.
We accept payment by credit card, debit card, or any other payment method specified on our website.
3. Trading Terms
Eligibility: Kewarm Pty Ltd offers credit accounts to eligible customers, subject to approval. Eligibility criteria include satisfactory credit history, financial stability, and compliance with our credit policies.
Credit Limit: Upon approval, a credit limit will be established for each account based on the customer’s credit history and business requirements. We reserve the right to adjust credit limits at our discretion and conduct periodic reviews.
Payment Terms: Payment terms for credit accounts are determined at the time of account approval. Timely payment is crucial to maintain credit privileges, and failure to adhere to payment terms may result in order delay, order cancellation and account suspension.
Security Interest: By opening a credit account with Kewarm Pty Ltd, customers grant us a security interest in all goods supplied on credit until full payment is received. In the event of default, we reserve the right to reclaim goods or pursue legal remedies.
Default and Remedies: Failure to comply with credit terms, including late payments or breaches of agreement, may result in account suspension, legal action, or termination of credit privileges.
Credit Account Closure: Kewarm Pty Ltd reserves the right to close credit accounts at our discretion. Upon closure, any outstanding balances must be settled immediately, and security interests granted to us remain in effect until resolved.
4. Shipping and Delivery
We will make reasonable efforts to ship orders promptly, but we cannot guarantee specific delivery dates or times. Delivery times may vary depending on the shipping method selected and your location.
Delivery charges will incur for all orders unless otherwise agreed by Kewarm at the time of order.
Risk of loss and title to products purchased from us pass to you upon delivery to the carrier. We are not responsible for any delays, loss, or damage that may occur during shipping.
For international orders, please note that customs duties, taxes, and fees may apply. These charges are the responsibility of the recipient and are not included in the product price or shipping cost.
Kewarm is not liable for any delays, damages, or losses incurred during transit.
5. Returns and Exchanges
Kewarm accepts returns of Products within 7 days of delivery, subject to goods being returned in original conditions.
Products must be returned in their original condition and packaging, and the Customer is responsible for return shipping costs.
Refunds will be issued upon receipt and inspection of the returned Products, less any applicable restocking fees.
Change of mind returns will incur a re-stocking fee, this will be deducted before funds are refunded back to the customer.
6. Warranty
Kewarm warrants that Products will be free from defects in materials and workmanship.
This warranty is subject to limitations and exclusions as specified in Kewarm’s warranty policy.
7. Limitation of Liability
To the extent permitted by law, we exclude all liability for any loss or damage arising out of or in connection with your use of our website or your purchase of products from us. This includes, but is not limited to, direct, indirect, INCIDENTAL, punitive, and consequential damages.
8. Governing Law
These Terms and Conditions of Trade are governed by the laws of Victoria, Australia. Any dispute arising out of or in connection with these Terms and Conditions of Trade shall be subject to the exclusive jurisdiction of the courts of Victoria.
9. Changes to Terms and Conditions
Kewarm reserves the right to amend these Terms at any time without prior notice. Any such amendments will be effective immediately upon posting on Kewarm’s website.
